1. Acceptance of Terms

By accessing or using Storm Call ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including utilities, contractors, subcontractors, administrators, and any other individuals or entities that access or use the Service.

2. Description of Service

Storm Call is a cloud-based platform that facilitates coordination and management of storm response operations for electrical utilities and contractors. The Service provides tools for:

  • Storm call creation and management
  • Contractor and subcontractor application processing
  • Equipment and crew activation tracking
  • Time sheet and work order management
  • Employee and equipment resource management
  • Safety data sheet management
  • Driver vehicle inspection reports (DVIR)
  • Rate sheet and contract management
  • Communication and notification services

3. User Accounts and Registration

3.1 Invite-Only Registration: Access to the Service is provided by invitation only. You must have a valid invitation code to create an account. Invitation codes are non-transferable and may be subject to expiration or revocation.

3.2 Account Responsibilities: You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate, current, and complete information
  • Promptly updating your account information
  • Notifying us immediately of any unauthorized use of your account

3.3 User Types and Roles: The Service supports different user types with varying levels of access:

  • StormCall Administrators: Platform administrators with full access to manage the Service
  • Contractor Users: Users associated with contractor organizations, with roles including Admin, Foreman, Mechanic, and Employee
  • Utility Users: Users representing utility companies

3.4 Account Deactivation: We reserve the right to deactivate or suspend your account at any time, with or without notice, for violation of these Terms or for any other reason we deem necessary. Upon deactivation, all active sessions will be terminated and you will be unable to access the Service.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the Service or any other accounts, computer systems, or networks
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use any robot, spider, or other automatic device to access the Service without our express written permission
  • Introduce any viruses, trojan horses, worms, or other malicious code
  • Use the Service to transmit, distribute, or store material that is defamatory, harassing, or otherwise objectionable
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Share your account credentials with any third party
  • Use the Service for any purpose other than storm response coordination and related business operations

5. Data Accuracy and Responsibility

You are solely responsible for the accuracy, completeness, and timeliness of all data, information, and content that you submit, upload, or otherwise provide through the Service, including but not limited to:

  • Employee information and classifications
  • Equipment specifications and availability
  • Time sheet entries and work records
  • Application information and resource availability
  • Rate sheets and contract terms
  • Safety data sheets and inspection reports

You acknowledge that inaccurate or incomplete data may result in errors, delays, or other issues in storm response operations, and you agree to indemnify and hold harmless Storm Call from any claims, damages, or losses arising from inaccurate or incomplete data provided by you.

6. Intellectual Property Rights

6.1 Service Ownership: The Service, including all software, technology, designs, graphics, text, and other content, is owned by Storm Call or its licensors and is protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes related to storm response operations.

6.3 User Content: You retain ownership of any data, information, or content you submit through the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and distribute such content solely for the purpose of providing and improving the Service.

6.4 Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

7. Third-Party Services and Integrations

The Service may integrate with or use third-party services, including but not limited to communication services, payment processors, and cloud infrastructure providers. Your use of such third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of any third-party services.

8. Service Availability and Modifications

8.1 Availability: We strive to provide reliable and continuous access to the Service, but we do not guarantee that the Service will be available at all times or free from errors, interruptions, or downtime. We may perform scheduled or unscheduled maintenance that may result in temporary unavailability.

8.2 Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may add, remove, or modify features, functionality, or content at our sole discretion.

8.3 No Obligation: We are under no obligation to provide any specific features or functionality, and we may prioritize certain features or services over others.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

We do not guarantee the accuracy, completeness, or usefulness of any information on the Service, and we are not responsible for any decisions made based on such information. The Service is a coordination and management tool and should not be used as the sole basis for critical business or safety decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STORM CALL, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers or data
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted or transmitted through the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Storm Call, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any inaccurate, incomplete, or misleading data or information you provide through the Service
  • Any claims arising from your business relationships with other users of the Service

12. Termination

12.1 Termination by You: You may stop using the Service at any time by deactivating your account or ceasing to access the Service.

12.2 Termination by Us: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

12.3 Effect of Termination: Upon termination, all data associated with your account may be deleted or retained in accordance with our data retention policies and applicable law. Provisions of these Terms that by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution: Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

13.3 Class Action Waiver: You agree that any disputes will be resolved on an individual basis and that you will not bring a claim as a plaintiff or class member in any class, consolidated, or representative action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Storm Call regarding the use of the Service and supersede all prior agreements and understandings, whether written or oral.
